Terms and Conditions

These Terms and Conditions (the “T&C“) are entered into and between Wing Security Ltd., an Israeli corporation, with registered number 516224136 (“Wing“) and you (the “Participant”), regarding your participation in Wing’s “SaaS Applications Estimation” challenge on the certain Wing landing page (the “Challenge”).

  1. Participation Conditions

    1. Participation in the Challenge is upon Wing’s sole discretion.

    2. Participation in the Challenge is limited to one participant per Organization. “Organization” refers to any entity, whether incorporated or not, including but not limited to corporations, companies, government agencies, associations, and any other form of legal entity or structure recognized under applicable law.

  2. The Challenge

    1. Participant Estimation: The Participant may provide an estimation regarding the number of SaaS applications used by their Organization.

    2. Entering Information: The Participant may enter the number of employees in its Organization, and whether the Organization uses Google or Microsoft Office (the “Information”).

    3. Wing Estimation: Wing may at its sole discretion provide its own estimation of SaaS applications used by the Participant’s Organization, based on Wing’s assessment and the accuracy of the Information.

    4. Try Wing’s Freemium to Get Verification: The Participant is invited to try Wing’s Freemium so Wing can verify the actual number of SaaS applications and check whether the estimations were correct. To access and use Wing’s Freemium, Participant must register a Freemium account at [https://mc.wing.security]. Registering a Freemium account may require certain information, e.g., a username and a password, and other information as set forth by Wing from time to time. The use of Wing’s Freemium is governed by the “Freemium Terms of Use”, to be found at [https://wing-public.s3.amazonaws.com/wing-branding/wing+freemium+-+terms+of+service+-+bas+-+30112022+clean.pdf].

    5. The Reward: If Wing provided Wrong Estimation, Wing may send a reward of $25 Amazon gift card (the “Reward”). “Wrong Estimation” means an estimation that deviates from the verified number by at least 20%, as long as the Information provided by the Participant is correct.

  3. Participant’s Statements and Obligations

By entering the Details and/or reviewing the Wing landing page the Participant represents and warrants that: (i) The Participant has read, understood, and agreed to be bound by these T&C (ii) If the Participant does not agree to these T&C, the Participant may not participate in the Challenge; (iii) The Participant acknowledges that the Participation in the Challenge and delivery of any rewards are upon Wing’s sole discretion; (iv) Wing does not provide any representations with respect to the estimation and verification and is not obligated to disclose its estimation or verification process; (v) The Participant represents that the Information is correct to the best of his knowledge; and (vi) The Participant agrees to comply with all applicable laws and regulations while participating in the Challenge; and (vii) The Participant is authorized to enter the Information without any restriction.

  1. Participant’s Acknowledgement

THE PARTICIPANT ACKNOWLEDGES AND AGREES THAT THE PARTICIPATION IN THE CHALLENGE IS AT PARTICIPANT‘S OWN RISKTHE CHALLENGE, ESTIMATIONS AND VERIFICATION ARE PROVIDED BY WING ON AN “AS IS” AND “AS AVAILABLE” BASIS. WING AND ITS AFFILIATES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WING AND ITS AFFILIATES MAKE NO WARRANTY THAT (I) THE CHALLENGE, ESTIMATIONS AND VERIFICATION WILL MEET PARTICIPANT’S EXPECTATIONS; (II) THE CHALLENGE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (III) ANY ERRORS IN THE CHALLENGE WILL BE CORRECTED; (IV) THE PARTICIPATION IN THE CHALLENGE IS ACCESSED AT PARTICIPANT‘S OWN DISCRETION AND RISK, AND PARTICIPANT WILL BE SOLELY RESPONSIBLE FOR AND HEREBY WAIVES ANY AND ALL CLAIMS AND CAUSES OF ACTION WITH RESPECT TO ANY DAMAGE THAT RESULTS FROM THE CHALLENGE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY THE PARTICIPANT FROM WING OR THROUGH OR FROM THE CHALLENGE, ESTIMATIONS OR VERIFICATION SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE T&C; AND (V) WING’S ESTIMATION SOLELY DEPENDS ON THE ACCURACY OF THE INFORMATION PROVIDED BY THE PARTICIPANT.

  1. Limitation of Liability

In no event shall Wing be liable for any indirect, incidental, special, consequential, or punitive damages, arising out of or in connection with the challenge. Notwithstanding anything to the contrary, Wing’s aggregate liability under these T&C will be limited to $1.

  1. Intellectual Property

All title, ownership rights, and intellectual property rights (including all copyrights, patents, trade secret rights and trademarks) in and to the Challenge and any content therein (excluding the Information provided by the Participant) shall remain with Wing, its affiliates, or their respective licensors, if any.

  1. Miscellaneous

    1. These T&C shall be governed by and construed in accordance with the laws of Israel, without regard to its conflict of law provisions.

    2. These T&C constitutes the entire agreement between the Participant and Wing regarding the use of the Challenge, superseding any prior agreements between the Participant and Wing.

    3. Wing reserves the right to modify these T&C at any time, at Wing’s sole discretion.

    4. Wing reserves the right to suspend or terminate the Challenge at any time with no obligation to the Participant, at Wing’s sole discretion.

    5. Wing shall have sole discretion on whether to send the Rewards to the Participant.

    6. Unless otherwise specified in these T&C, the provisions Wing’s Privacy Policy available at [https://wing.security/privacy-policy/] shall apply.
